Medex does not provide patient care or clinical services. You agree to defend, indemnify, and hold harmless Medex, its officers, directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Website or violation of these Terms.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of California, and the parties irrevocably consent to personal jurisdiction and venue therein.
At Medex’s sole election, any dispute may be resolved through binding arbitration in California pursuant to the Federal Arbitration Act (9 U.S.C. §§ 1–16).
Medex shall not be liable for failure or delay resulting from events beyond reasonable control, including acts of God, natural disasters, labor disputes, government actions, or internet service disruptions.
If any provision is held unenforceable, the remaining provisions shall remain in full force. Failure to enforce any right shall not constitute waiver. Medex may assign these Terms without restriction.
These Terms constitute the entire agreement regarding use of the Website and supersede all prior or contemporaneous understandings or communications.
