Terms and Conditions of Use

These Terms and Conditions of Use (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and MEDEX PRACTICE SOLUTIONS INC., a corporation organized and existing under the laws of the State of California (“Medex,” “Company,” “we,” “us,” or “our”), governing your access to and use of the website located at https://www.medexps.com (the “Website”).

By accessing, browsing, visiting, submitting information to, or otherwise using this Website, you affirmatively acknowledge and agree that your access and use constitutes execution of these Terms in electronic form, with the same legal force and effect as a handwritten signature, pursuant to applicable United States and California contract and electronic transaction laws.

The Website is provided solely for general informational purposes related to healthcare administrative consulting services, including practice management, billing, coding, credentialing, provider enrollment, compliance support, and operational advisory services.

Use of the Website does not create any client relationship, professional engagement, fiduciary duty, partnership, joint venture, agency, or contractual obligation unless and until a separate written services agreement is executed by authorized representatives of both parties.

3. No Medical, Legal, Billing, or Regulatory Advice

The Website does not provide medical advice, clinical guidance, legal opinions, regulatory interpretations, reimbursement advice, credentialing determinations, or compliance assurances under any federal or state law.

Medex does not provide patient care or clinical services. Users remain solely responsible for compliance with all applicable laws and regulations, including but not limited to the Health Insurance Portability and Accountability Act of 1996 (HIPAA), Medicare and Medicaid regulations, commercial payer rules, and state licensing requirements.

4. User Eligibility and Representations

You represent and warrant that you are at least eighteen (18) years of age, possess legal capacity to enter into this Agreement, and will use the Website only in compliance with applicable United States federal and California state laws.

5. Prohibited Conduct

  • Submitting false, misleading, deceptive, or fraudulent information
  • Attempting unauthorized access to systems, servers, or data
  • Scraping, data mining, reverse engineering, or reproducing Website content
  • Interfering with Website security, functionality, or availability
  • Using the Website for unlawful, abusive, or harmful purposes

6. Intellectual Property Rights

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO USE OF THE WEBSITE, REGARDLESS OF LEGAL THEORY.

IN NO EVENT SHALL MEDEX’S TOTAL AGGREGATE LIABILITY EXCEED ONE THOUSAND U.S. DOLLARS (USD $1,000), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless Medex, its officers, directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Website or violation of these Terms.

11. Governing Law and Exclusive Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of California, and the parties irrevocably consent to personal jurisdiction and venue therein.

12. Arbitration Election

At Medex’s sole election, any dispute may be resolved through binding arbitration in California pursuant to the Federal Arbitration Act (9 U.S.C. §§ 1–16).

13. Force Majeure

Medex shall not be liable for failure or delay resulting from events beyond reasonable control, including acts of God, natural disasters, labor disputes, government actions, or internet service disruptions.

14. Severability, Waiver, and Assignment

If any provision is held unenforceable, the remaining provisions shall remain in full force. Failure to enforce any right shall not constitute waiver. Medex may assign these Terms without restriction.

15. Entire Agreement

These Terms constitute the entire agreement regarding use of the Website and supersede all prior or contemporaneous understandings or communications.
